Confidentiality & Limited Liability Statement

This Confidentiality & Limited Liability Statement (“Statement”) sets out how HyKr Studio (“HyKr”, “we”, “us”) will handle the information, materials, and links you submit as part of the HyKr Build Challenge. By submitting this form, you (“you”, “your team”, “the applicant”) acknowledge and agree to the terms below.

1. Purpose of information use

You are submitting information about your product, MVP, architecture, and related materials for the sole purpose of allowing HyKr and its evaluation panel to review your application for the HyKr Build Challenge and to make related internal program decisions.

HyKr will use the information and materials you provide only for:

• Evaluating your MVP and technical progress.
• Conducting internal discussions about your application and fit for the program.
• Contacting you regarding the challenge, including clarifications, shortlisting, next steps, or feedback, where applicable.

HyKr does not seek any ownership of your intellectual property through this submission. All IP in your product, code, designs, documentation, and related materials remains with you or your company, subject to any separate written agreements you may sign with HyKr in the future.

2. Confidentiality and information sharing

HyKr intends to treat your Submission as confidential and use it only within the scope described above. We will not deliberately publish or disclose your Submission to the general public.

Your Submission may be shared internally with:

• HyKr team members directly involved in the challenge and its operations.
• External evaluators, mentors, or advisors engaged by HyKr for the specific purpose of reviewing applications and providing input, who are similarly expected to treat such information as confidential.

HyKr will not share your detailed Submission with third parties for unrelated commercial purposes (for example, selling your data) without your prior consent, except:

• Where required by applicable law, regulation, or legal process.
• To comply with requests from regulatory or governmental authorities.

You are responsible for ensuring that any links you share (e.g., GitHub, Notion, Drive, Loom) have appropriate access settings and do not unintentionally expose sensitive information beyond what you are comfortable sharing for evaluation.

3. No obligation to keep source code or trade secrets

HyKr does not request that you share highly sensitive trade secrets or full proprietary source code as part of this form. If you choose to share such materials, you do so voluntarily and with the understanding that:

• HyKr will reasonably attempt to safeguard your Submission as described in this Statement, but
• HyKr does not provide the same level of protection as a bespoke, signed Non-Disclosure Agreement (NDA), unless such a separate NDA has been executed in writing between you and HyKr.

If you are not comfortable sharing certain details (e.g., full repo access, sensitive implementation details), you may instead provide high-level overviews or redacted information that still allows for a fair technical evaluation.

4. Use of third-party services and access risks

Your Submission may rely on, or be hosted on, third-party platforms and tools (for example, GitHub, Google Drive, Notion, Figma, Loom, cloud providers). HyKr evaluators will access your materials using the links and credentials you provide.

By sharing such links and access details, you acknowledge that:

• These third-party platforms have their own security, privacy, and access controls, which are outside HyKr’s direct control.
• HyKr is not responsible for any security incidents, breaches, misconfigurations, or data losses that occur on or through those third-party services.
• You are encouraged to provide test credentials and sanitized data wherever possible, especially if your product handles sensitive or personal information.

5. Limited liability

While HyKr will take reasonable measures to safeguard your Submission and restrict use to evaluation purposes, no system can be guaranteed to be completely secure. By proceeding with your Submission, you agree that:

• HyKr will not be liable for any indirect, incidental, consequential, or special loss or damage arising from the use, access, or disclosure of your Submission, except to the extent such limitation is not permitted by applicable law.
• HyKr will not be responsible for unauthorized access, disclosure, or misuse of your Submission arising from factors beyond our reasonable control, including but not limited to:
  • Security breaches or vulnerabilities in third-party tools or hosting providers.
  • Misuse of links or credentials by individuals to whom you have also granted access.
  • Incorrect access permissions or configuration on links or environments controlled by you.

Nothing in this Statement limits any liability that cannot be excluded under applicable law.

6. Acknowledgement and consent

By submitting the “HyKr Build Challenge – Technical Evaluation MVP Submission” form, you confirm that:

• You are authorized to submit this information on behalf of your team or company.
• You have read, understood, and agree to this Confidentiality & Limited Liability Statement.
• You consent to HyKr using your Submission as described above for the purposes of evaluating your application and operating the HyKr Build Challenge.
